Bid Perfect eLearning - Terms and Conditions of use

These terms and conditions relate specifically to the use of the Bid Perfect Elearning platform and the entirety of the content contained therein. Please carefully read these terms prior to making use of the site or taking one of the modules.

When you access this site, you are indicating that you have read and you accept these terms and conditions in their entirety. If, for any reason, you do not agree to these terms, you should not proceed with the services provided.

We may change these terms and conditions from time to time and, if we do, we will post a notification to that effect on the platform, in plain view. Your continued use of this site after such a notification will be deemed your conclusive acceptance of any modified agreement.

  1. General

 

    1. Bid Perfect Ltd. reserves the right to alter the content used at any time. This may include minor or wholesale changes to module content, the complete replacement of a module or the deletion (temporarily or permanently) of a module. If we do this, we will post an appropriate warning to anyone currently engaged on the module due to be altered or deleted.
    2. Customers who do not complete the elearning course in the time available will not be eligible for a refund. All modules will have a limited time of license which will be clearly indicated at the time of purchase.
    3. Customers will be responsible for their own time management in completing the modules. The platform will not automatically issue warning of impending expiry of the module time license.
    4. All rights not expressly granted herein are reserve
    5. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
    6. If you do not agree with these Terms and Conditions you must cease any module you may be engaged with immediately and notify Bid Perfect Ltd. of your intent not to continue.

 

  1. Financial

 

    1. Individual module prices, and prices for bundled learning programmes are identified in UK pounds (GBP), US dollars (USD) and Euros (EUR). Payment must be made in these currencies. Any costs for currency conversation is the responsibility of the service user.
    2. All prices quoted are inclusive of VAT in the UK.
    3. A receipt for the payment will be generated at the time of purchase.
    4. Online payment via credit or debit card is the only method of payment available for access to the learning materials. Recognised credit cards are Visa, MasterCard and Maestro.
    5. Course fees provide a timed period of access to the module(s) training content.
    6. Each license is valid for one person only and cannot be exchanged or shared.
    7. Bid Perfect Ltd. reserves the right to review the pricing from time to time and increase or decrease as we require to continue to profitably provide the learning services. In the event of a price change, any modules having been purchased will remain at the purchased price.
    8. All discounts, whether advertised or stated in correspondence, are mutually exclusive, i.e. only one discount can be applied to any one booking.

 

  1. Cancellation Policy

 

    1. All requests to cancel pre-purchased, but not accessed, must be submitted to us in writing via enquries@bidperfect.co.uk. Each case will be judge on its merits and we do not guarantee to provide a refund.
    2. If a student cannot access the course online via www.bidperfect.com because they fail to meet the required system requirements given on the website, then Bid Perfect Ltd. will not take responsibility or give a refund to the purchaser.
    3. The start date of all access is deemed to be the date that the customer first has access to the self-study materials.

 

  1. Elearning Content

 

    1. All elearning content is the intellectual property of Bid Perfect Ltd.
    2. The content has been prepared, maintained, updated and distributed by Bid Perfect Ltd.
    3. The use of the training content on our courses is restricted to the registered user who has been supplied with the log in details after successful purchase of the training module(s).
    4. The registered user agrees not copy, share, modify, transmit, distribute, or in any way, exploit the copyrighted materials provided by Bid Perfect Lt other than for their own individual training. Use for any other purpose is expressly prohibited by law and any we will pursue a legal remedy in the event of any transgression of this clause.
    5. The registered user shall not permit anyone else to copy, use, modify, transmit, distribute, or in any way, exploit Bid Perfect’s copyrighted materials.
    6. The materials made available by Bid Perfect Ltd. are provided "as-is" without warranties of any kind, either expressed, or implied, including, but not limited to, all implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.
    7. Bid Perfect Ltd. does not warrant that the materials will be error free including technical inaccuracies, nor free of viruses, or other harmful matter. The entire cost of any necessary service, repair, or correction, is the registered user's responsibility.
    8. Bid Perfect Ltd. may make improvements, or changes, to this material at any time without prior notification.

 

  1. Access to the Modules

 

    1. Bid Perfect Ltd. strives to provide the course content to its customers on a continuous basis. To that end, Bid Perfect Ltd. will take all commercially reasonable efforts to provide uninterrupted access to the content. However, from time to time, registered users may be unable to access the modules due to conditions beyond our control. Such conditions include, but are not limited to: force majeure, power outages, and the acts of computer hackers and others acting outside the law. Also, from time to time, access may be unavailable due to software issues, server downtime, increased internet traffic or downtime, programming errors, regular maintenance of the system, and other related reasons. In response to any unavailability of the courses to its registered users, Bid Perfect Ltd. will take all commercially reasonable steps to ensure access is restored within a reasonable period of time. The term "commercially reasonable," as used in these terms, shall mean reasonable efforts taken in good faith without an unduly or burdensome use or expenditure of time, resources, personnel or money.
    2. Users are solely responsible for ensuring that they have sufficient and compatible hardware, software, telecommunications equipment and Internet service necessary for use of the Site.

 

  1. Third Party Content and Hyperlinks

 

    1. Bid Perfect Ltd. makes no warranty, either expressed or implied, of the accuracy, merchantability, fitness for a particular purpose, or non-infringement of the information provided by third parties. This includes, but is not limited to, any information found on a link located on this site that allows users to access information found on another site. Additionally, we do not warrant the existence or functionality of any website which can be accessed through a link located on this site.

 

  1. Copyrights, Trademarks and Other Proprietary Rights.

 

    1. Bid Perfect Ltd. or its third-party content providers shall retain all worldwide rights in the intellectual property in and on the site, including, but not limited to, trademarks, service marks, trade dress, inventions, ideas, trade secrets, the source code, the HTML code, the "look and feel" of the site, its colour combinations, layout, and all other graphical elements, and the copyrights in and to its original content. You should assume that everything you read or see on the site is copyrighted, trademarked, or otherwise protected and owned or licensed by Bid Perfect Ltd.
    2. Except as expressly stated on the site or in these terms, nothing that you read or see on the site or in the courses may be copied, reproduced, modified, distributed, transmitted, republished, displayed or performed for commercial use without the prior written consent of Bid Perfect Ltd, except as provided for in these terms. Nothing in these terms grants you an express or implied license to use any of Bid Perfect Ltd. intellectual property outside of its intended purpose.

 

  1. Disclaimers and Limitation of Liability

 

    1. Users access this site at his/her own risk. The site is provided on an "as is, as available" basis without warranty of any kind, expressed, implied or statutory, and any and all warranties of merchantability, fitness for a particular purpose or non-infringement of third parties' rights are specifically disclaimed. Bid Perfect Ltd. does not warrant any particular result from use of the software or site. Bid Perfect Ltd. does not warrant that the information on the site is accurate, complete or complies with any particular law or regulation, or that the operation of and your access to the site will be uninterrupted, error-free, virus-free or completely secure.
    2. Under no circumstances and under no legal theory (tort, contract or otherwise) shall Bid Perfect Ltd. or any of its affiliates, agents, employees, shareholders, directors, officers, third party content providers, successors or assigns be liable to any entity for any indirect, special, incidental, punitive or consequential damages of any character, including without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, loss of data, loss of productivity or contract, or any and all other commercial damages or losses.
    3. Your use of this site is at your sole risk and any content that you download is downloaded at your own discretion and risk, and you are solely responsible for any damage to your computer system in excess of the amount Bid Perfect Ltd. received from registered users for a course, and for any loss of data that results from the downloading of any such content, including any damages resulting from computer viruses.
    4. In no event will Bid Perfect Lt be liable for any damages in excess of the amount Bid Perfect Ltd. received for access to a course, even if Bid Perfect Ltd. have been informed of the possibility of such damages, or for any claim by any other party.
    5. In no event will warranties provided by law, if any, apply unless they are required to apply by statute notwithstanding their exclusion by contract.
    6. This disclaimer is applicable to any damage or injury resulting from the negligence or an omission of Bid Perfect Ltd, computer virus or other similar item, telecommunications errors, or unauthorised access to or use of user information through theft or any other means. Bid Perfect Ltd. is not liable for criminal, tortious, or negligent actions or omissions of third parties that affect this site.

 

  1. Privacy of Data Supplied

 

    1. All privacy data supplied to Bid Perfect, as required by this site, and to gain access to the learning content, will be held securely by us and will not be accessible outside of Bid Perfect Ltd.
    2. We will grant no third party any form access or privileges in respect to your private data.
    3. Unless compelled to do by UK law, we will not supply your data to any third party.
    4. Unless you indicate to us otherwise, your data will be deleted after twelve months of inactivity.
    5. You can request, at any time, a full report on the data we hold on you, free of charge. Please ask for the information in writing to enquries@bidperfect.co.uk.
